　　J: I think our contract is not comprehensive. It still lacks the most important article.

　　J: Exactly. The arbitration c l a use is important for both of us. When we can't reach an agreement in case of the dispute, It helps us to get fair and reasonable solution.

　　W: But in my ten years of business life, I haven't met one situation which needed arbitration institution. Do you think this is a must?

　　J: Isn't there a phrase in China which says “We are afraid of 10,000 but one risk”? I think It is quite right. Writing this in the contract is not harmful to any party.

　　中國不是有一句俗語“不怕一萬，就怕萬一”，我覺得說得很好。在合同上寫上這個條款對誰也沒什么壞處。

　　W: Well, we will do just as you said. Where shall we locate the arbitration institution, in our country or your country?

　　那好吧。就聽你的。仲裁機構我們應該設在哪里，我們國家還是你們國家呢?

　　J: Neither is good.In order to make the arbitration results fair, unbiased and impartiality, I consider it is the best to set it in the third country.

　　這樣都是不好的。為了仲裁結果的公平、無偏見和偏袒，我認為設在第三國是最好的。

　　W: Good. We will set it in South Korea, which is not far from any of our country.

　　好的。我們就把他設在韓國吧，這離我們都不是很遠。

　　J: That is a good idea. The referee's award on the dispute is final and binding on the both sides. Another thing to be mentioned is that the losing party shall bear all the arbitration fee.

　　好主意。仲裁人對爭執的裁決是終局性的， 對雙萬均具有約束性。另外還要說明一點，失敗的一方要承受仲裁費用。

　　W: That's for sure. I'm glad we finally come to an agreement on the term. Let's have a rest.

　　那是當然。很高興我們關于這個條款達成了一致。讓我們休息一下吧。

　　J: Good.

　　好的。
